Plain-language definitions of the terms lenders, investors and asset managers use to underwrite, finance and manage commercial real estate. Every term has its own page with a formula where one applies, a worked example, a comparison with the term it is most often confused with, and answers to common questions.

Underwriting & Valuation

Capital Expenditures (CapEx)

Capital expenditures (CapEx) are spending on a property that replaces major components or extends its useful life, such as roofs, HVAC systems, parking lots, elevators and unit renovations. Unlike routine repairs, CapEx is not an operating expense, so it sits below net operating income in most underwriting models.

Capitalization Rate (Cap Rate)

A capitalization rate, or cap rate, is a property's annual net operating income divided by its value or purchase price, shown as a percentage. It measures the unlevered return a property produces and gives investors and lenders a quick way to compare pricing across properties and markets.

Commercial Real Estate Due Diligence

Commercial real estate due diligence is the investigation a buyer or lender completes before closing to confirm that a property is what it appears to be. It covers the financials, leases, physical condition, title, zoning, environmental issues and market, and it tests the assumptions behind the underwriting.

Commercial Real Estate Underwriting

Commercial real estate underwriting is the process lenders and investors use to decide whether a property deal makes sense. It checks what the property earns today, what it could realistically earn, what it is worth, and how much debt that income can support, then names the risks that could cause the deal to fail.

Discounted Cash Flow (DCF)

Discounted cash flow (DCF) is a valuation method that projects a property's future cash flows, including its eventual sale price, and converts them into a single present value using a discount rate. It shows what a property is worth today based on the income it is expected to produce over the holding period.

Economic Vacancy

Economic vacancy is all the rent a property does not collect, measured against its full potential rent. It includes empty units plus unpaid rent, move-in concessions and units used by staff or as models. It is almost always higher than physical vacancy, and it is the figure underwriters plan around.

Investment Committee (IC) Memo

An investment committee (IC) memo is the internal document an investment team prepares to recommend approving or declining an acquisition or investment. It summarizes the property, the business plan, the underwriting, the returns, the key risks and how they will be managed, so the committee can make a decision.

Loss to Lease

Loss to lease is the difference between the market rent a unit could command today and the rent the current tenant actually pays under their lease. It shows how much additional income a property could capture as leases expire and renew at market rates.

Net Operating Income (NOI)

Net operating income (NOI) is the income a property produces after operating expenses, before loan payments, income taxes, depreciation and capital spending. It is the main measure of a property's earning power and the starting point for its value, its cap rate and the size of loan it can support.

Offering Memorandum (OM)

An offering memorandum (OM) is the marketing document a broker prepares to sell a commercial property or raise capital for it. It describes the property, its tenants and financial performance, the market and the investment opportunity, and it is usually the first document a buyer or lender reviews on a new deal.

Rent Roll

A rent roll is a schedule of every unit or tenant space in a property, showing who occupies it, what they pay, and when their lease starts and ends. It shows what a property earns today and when each rent can change, which makes it the starting document for commercial real estate underwriting.

Stress Testing

Stress testing is the process of measuring how a property, loan or portfolio would perform under adverse conditions, such as higher interest rates, lower rents, rising vacancy or falling values. It shows where losses or covenant breaches would appear, so owners and lenders can prepare before those conditions arrive.

T12 (Trailing Twelve Months)

A T12, or trailing twelve months statement, is a property's income and expense report covering the most recent twelve months, usually broken out month by month. It shows what the property actually earned and spent over a full year, which makes it the reality check for every forward-looking number in underwriting.

Debt & Lending

Bridge Loan

A bridge loan is a short-term commercial real estate loan, usually floating-rate with a term of a few years, used to finance a property until it can qualify for long-term financing. Borrowers use bridge loans for properties in transition, such as those being renovated, leased up or repositioned.

Cash Sweep

A cash sweep is a loan provision that requires a property's excess cash flow, after operating expenses and debt service, to be held by the lender or used to pay down the loan instead of going to the owner. It is usually triggered when the property breaches a covenant, such as a minimum debt service coverage ratio.

Commercial Mortgage-Backed Securities (CMBS)

Commercial mortgage-backed securities (CMBS) are bonds backed by a pool of commercial real estate loans. Lenders originate the loans, pool them into a trust and sell bonds to investors, who are repaid from the borrowers' loan payments. CMBS loans are typically fixed-rate, non-recourse and held by the trust for their full term.

Construction Loan

A construction loan is short-term financing that funds the building or major renovation of a property. Instead of paying out the full amount at closing, the lender releases funds in stages, called draws, as work is completed and inspected, and the borrower usually pays interest only on the amount drawn.

Credit Memo

A credit memo is the internal document a lender's team prepares to recommend approving or declining a loan. It summarizes the borrower, the property, the loan terms and the underwriting, including debt service coverage, loan-to-value and debt yield, and it explains the risks and how the loan structure addresses them.

Debt Service Coverage Ratio (DSCR)

The debt service coverage ratio (DSCR) is a property's annual net operating income divided by its annual loan payments of principal and interest. It shows how many times the property's income covers its debt, and lenders use it to decide how large a loan the property can safely support.

Debt Yield

Debt yield is a property's annual net operating income divided by the loan amount, shown as a percentage. Lenders use it to measure how much income stands behind each dollar of a commercial real estate loan. Because it ignores interest rates, amortization and property value, it stays stable when those inputs move.

Loan Covenants

Loan covenants are the conditions a borrower agrees to in a commercial real estate loan, such as keeping a minimum debt service coverage ratio, sending financial statements on schedule and maintaining insurance. They give the lender an early signal when a loan's risk is rising, well before a missed payment.

Loan-to-Value (LTV)

Loan-to-value (LTV) is the loan amount divided by the property's appraised value or purchase price, shown as a percentage. It measures how much of a property is financed with debt and how much equity cushion protects the lender if the property's value falls.

Maturity Wall

The maturity wall is the large volume of commercial real estate loans scheduled to come due over a short period. When many loans mature at once, especially after interest rates or property values have moved, borrowers can struggle to refinance, and lenders face a wave of extensions, modifications and workouts.

SOFR (Secured Overnight Financing Rate)

The Secured Overnight Financing Rate (SOFR) is a benchmark interest rate based on overnight loans backed by U.S. Treasury securities, published daily by the Federal Reserve Bank of New York. It replaced LIBOR as the main reference rate for U.S. floating-rate loans, including most commercial real estate bridge and construction loans.

Special Servicer

A special servicer is the firm that takes over management of a commercial mortgage, usually in a CMBS trust, once the loan defaults or faces serious risk of default. It works to resolve the loan on behalf of bondholders through modifications, extensions, note sales or foreclosure.

Construction & Draws

Construction Draw

A construction draw is a payment a lender releases from a construction loan to cover work completed on a project. The borrower submits a draw request with invoices and supporting documents, the lender verifies the work and checks it against the budget, and funds are released in stages as the project progresses.

Draw Request

A draw request is the formal request a borrower submits to release funds from a construction loan for work completed. It lists the costs incurred by budget line, with invoices, lien waivers and an updated budget, so the lender can verify the work and approve payment.

Lien Waiver

A lien waiver is a document in which a contractor, subcontractor or supplier gives up its right to file a lien against a property for work it has been paid for. Lenders require lien waivers with construction draws to confirm that the people doing the work are being paid and the property stays free of claims.

Retainage

Retainage is a portion of each construction payment, usually a set percentage, that the owner or lender holds back until a project or phase is complete. It gives the contractor a financial reason to finish the work, fix defects and deliver closeout documents before receiving the final payment.

Leases & Income

Estoppel Certificate

An estoppel certificate is a signed statement from a tenant confirming the key terms of its lease, such as rent, lease dates, deposits and whether any defaults exist. Buyers and lenders rely on it during due diligence, because the tenant cannot later claim terms that contradict what it certified.

Lease Abstraction

Lease abstraction is the process of pulling the key terms out of a commercial lease into a short, standard summary called a lease abstract. It captures details such as rent, escalations, lease dates, renewal options, expense reimbursements and tenant obligations, so teams can review a lease without reading the full document.

Triple Net Lease (NNN)

A triple net lease (NNN) is a commercial lease in which the tenant pays base rent plus the property's three main operating costs: property taxes, building insurance and maintenance. Because the tenant covers most expenses, the landlord's income is more predictable, which makes NNN properties popular with investors seeking stable cash flow.

Asset Management

Borrower Portal

A borrower portal is a secure online platform where commercial real estate borrowers submit documents and information to their lender and track what is still needed. It replaces email chains with one place for loan applications, financial statements, insurance certificates, draw requests and compliance items throughout the life of a loan.

CRE Asset Management

Commercial real estate asset management is the ongoing work of managing a property or loan portfolio to protect and grow its value after an investment is made. It covers business plan execution, budgets, leasing strategy, capital projects, financial reporting, risk monitoring and decisions on when to hold, refinance or sell.

Financial Spreading

Financial spreading is the process of taking figures from a property's or borrower's financial statements and entering them into a standard format, such as a lender's chart of accounts. It puts statements from different sources and periods side by side, so analysts can compare performance and calculate ratios consistently.

Portfolio Monitoring

Portfolio monitoring is the ongoing review of every property or loan in a portfolio to track performance and catch risk early. It covers financial results, covenant compliance, lease expirations, insurance, maturities and market conditions, so owners and lenders can act before a problem becomes a loss.

Variance Analysis

Variance analysis compares a property's actual income and expenses with its budget, its prior-year results or its original underwriting, and explains the differences. It shows where performance is off track and why, so asset managers and lenders can respond before a small gap becomes a lasting problem.

Insurance

ACORD 25

ACORD 25 is the standard certificate of liability insurance form used across the U.S. insurance industry. It summarizes a policyholder's liability coverage, including general liability, auto, umbrella and workers' compensation, with the insurers, policy numbers, limits and dates, on one page that lenders and landlords can review quickly.

Business Interruption Insurance

Business interruption insurance, often called loss of rents coverage in real estate, replaces income a property loses when a covered event, such as a fire or storm, forces tenants out or stops operations. It keeps money coming in to pay loan payments and operating costs while the property is repaired.

Certificate of Insurance (COI)

A certificate of insurance (COI) is a one- or two-page document that summarizes an insurance policy: who is insured, the insurer, the policy numbers, the coverage types and limits, and the policy dates. Lenders and landlords use it as quick proof of coverage, though it does not change the policy itself.

Insurance Compliance

Insurance compliance in commercial real estate lending is the process of confirming that each borrower carries the insurance the loan agreement requires and keeps it in force. It covers policy types, coverage limits, deductibles, named insureds and renewal dates, and it protects the lender's collateral against uninsured losses.

Mortgagee Clause

A mortgagee clause is a provision in a property insurance policy that protects the lender's interest in the insured property. It names the lender to receive claim payments for damage to the property and usually preserves the lender's coverage even if the borrower does something that would void the policy.

Affordable Housing

Low-Income Housing Tax Credit (LIHTC)

The Low-Income Housing Tax Credit (LIHTC) is a federal tax credit that funds the construction and rehabilitation of affordable rental housing in the United States. State housing agencies award the credits to developers, who sell them to investors for equity, and in return the property must rent units to lower-income households at restricted rents.

Workforce Housing

Workforce housing is rental housing affordable to middle-income households, such as teachers, nurses and first responders, who earn too much to qualify for most subsidized housing but struggle with market rents. It is commonly defined as housing for households earning about 60 to 120 percent of area median income.

AI & Data

Agentic AI

Agentic AI refers to AI systems that work toward a goal by planning and carrying out multi-step tasks with limited supervision, using tools and data sources along the way. In commercial real estate, AI agents take on work such as reading loan documents, pulling market comparables and tracking covenants, while people review the results.

AI Underwriting

AI underwriting is the use of artificial intelligence to support commercial real estate underwriting by reading deal documents, extracting and reconciling the figures, pulling market data and building a first draft of the model and memo. People still set the assumptions and make the credit or investment decision.

Business Email Compromise (BEC)

Business email compromise (BEC) is a fraud in which criminals take over or impersonate a trusted email account to trick someone into sending money or sensitive information. In commercial real estate, attackers often pose as a borrower, title company or lender to change wire instructions for closings, payoffs or draws.

Document Extraction

Document extraction is the use of AI to pull specific data from documents, such as rent rolls, operating statements, leases and loan agreements, into structured fields a system can use. It turns PDFs, scans and spreadsheets in many different formats into consistent data for underwriting, reporting and monitoring.

Human-in-the-Loop

Human-in-the-loop is an approach to AI in which people review, correct or approve the system's work at key points before it is used. In commercial real estate, it means AI tools prepare the analysis and flag uncertain items, while analysts and credit officers check the results and make the decisions.

Intelligent Workflow Automation

Intelligent workflow automation combines AI with workflow software to carry out multi-step business processes that involve documents, data and judgment. In commercial real estate, it handles work such as deal intake, document review, covenant tracking and draw processing, and it routes exceptions to people for decisions.
